These Terms and Conditions (“Terms”) govern your use of tangentbrokerage.com (the “Site”) and the communications and online services offered through it by Tangent Brokerage (“Tangent Brokerage,” “we,” “us,” or “our”), a business brokerage located in Glen Ellyn, Illinois. By accessing the Site, submitting a form, or exchanging email or text messages with us, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.

1. Who may use the Site

You must be at least 18 years old and able to form a binding contract to use the Site. You agree to provide accurate, current, and complete information when you contact us or complete a form, and to keep that information up to date.

2. Our services

Tangent Brokerage provides business brokerage services, including business valuations, confidential marketing of businesses for sale, buyer screening, and transaction support. Using the Site or requesting information does not by itself create a brokerage, agency, or fiduciary relationship. Any engagement is governed by a separate written agreement signed by Tangent Brokerage and the client, and that agreement controls if it conflicts with these Terms.

3. Business listings and information

Listing information published on the Site is provided by business owners and other third-party sources. While we take reasonable care, Tangent Brokerage does not warrant the accuracy, completeness, or currency of any listing, financial figure, projection, or description. Listings may be modified, withdrawn, or sold without notice. Any prospective buyer is responsible for conducting their own due diligence and for retaining their own legal, accounting, and tax advisors before entering into any transaction.

4. Valuation tools and estimates

Our valuation calculator, free valuation, and broker’s opinion of value are informational estimates based on the information supplied to us and on general market assumptions. They are not certified appraisals, fairness opinions, investment advice, legal advice, tax advice, or a guarantee of any sale price. You should not rely on them as the sole basis for a business decision.

5. Confidentiality and non-disclosure agreements

Access to detailed information about a business for sale requires a signed non-disclosure agreement (NDA) and buyer qualification. When you sign an NDA electronically through the Site, you agree that your electronic signature is legally binding and that you will keep all disclosed information confidential in accordance with that NDA’s terms. You agree not to contact a seller, its employees, customers, suppliers, or landlord directly except through Tangent Brokerage.

6. Text messaging (SMS/MMS) terms

Tangent Brokerage offers a text messaging program that sends transactional and, with your separate consent, marketing messages about your inquiry, appointments, documents, and businesses for sale.

  • Opt-in. You opt in by voluntarily providing your mobile number through a form on our website, by requesting information from us, or by giving your number to a broker, and by explicitly agreeing to receive text messages. Consent is not a condition of purchase or of receiving our services.
  • Message frequency. Message frequency varies based on your inquiry and the stage of your transaction.
  • Cost. Message and data rates may apply. Tangent Brokerage does not charge for the messages themselves; charges come from your mobile carrier under your plan.
  • Opt-out. Reply STOP to any message to cancel at any time. You will receive one confirmation message and no further messages, unless you opt in again. You may also email or call us to be removed.
  • Help. Reply HELP for assistance, or contact us at 630-862-5234 or info@TangentBrokerage.com.
  • Carriers. Wireless carriers are not liable for delayed or undelivered messages. Delivery is subject to effective transmission by your carrier and is not guaranteed.
  • Privacy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. See our Privacy Policy for full details on how we handle SMS opt-in data.

7. Acceptable use

You agree not to:

  • Use the Site for any unlawful purpose or in violation of these Terms
  • Submit false, misleading, or fraudulent information, or impersonate another person or entity
  • Scrape, harvest, or copy listings, content, or contact information by automated means
  • Use information obtained from the Site to send unsolicited commercial messages
  • Attempt to gain unauthorized access to the Site, its servers, or any related systems, or interfere with their operation
  • Upload malicious code or otherwise disrupt or damage the Site

8. Intellectual property

The Site and its content — including text, graphics, logos, the Tangent Brokerage name and marks, listing write-ups, blog articles, case studies, and software — are owned by Tangent Brokerage or its licensors and are protected by copyright, trademark, and other laws. You may view and print pages for your own non-commercial reference. Any other reproduction, distribution, modification, or commercial use requires our prior written permission.

9. Third-party links and services

The Site links to third-party websites and services, including business-for-sale marketplaces and social media platforms. We do not control and are not responsible for their content, terms, or privacy practices. Following those links is at your own risk.

10. Disclaimer of warranties

The Site and its content are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that any content is accurate or complete.

11. Limitation of liability

To the fullest extent permitted by law, Tangent Brokerage and its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost business, or lost data, arising out of or relating to your use of the Site or reliance on its content, even if advised of the possibility of such damages. Our total liability for any claim relating to the Site will not exceed one hundred dollars ($100), except where such limitation is prohibited by law. Nothing in these Terms limits liability that cannot lawfully be limited.

12. Indemnification

You agree to indemnify and hold harmless Tangent Brokerage and its owners, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Site, your violation of these Terms, or your violation of any law or the rights of a third party.

13. Governing law and disputes

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws rules. You and Tangent Brokerage agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in DuPage County, Illinois, and you consent to the personal jurisdiction of those courts.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and post the revised Terms on this page. Your continued use of the Site after an update constitutes acceptance of the revised Terms.

15. Severability and entire agreement

If any provision of these Terms is found unenforceable, the remaining provisions stay in full force. These Terms, together with our Privacy Policy, are the entire agreement between you and Tangent Brokerage regarding the Site, and supersede any prior understandings about it.
